Terms of Service
These Terms of Service (“Terms”) govern access to and use of the BRidge platform, software, sites, APIs, documentation, and related services (collectively, “BRidge”) provided by Atlas IP Holdings LLC (“Atlas”, “we”, “us”, “our”). By accessing or using BRidge, you agree to these Terms.
Important: BRidge is licensed software infrastructure for commercial scrap & commodity workflows (contracts, BOLs, indices, trading functions). Use is also subject to the
EULA and the
Privacy Policy. If there is a conflict, an executed Order controls, then the EULA, then these Terms, then policies referenced here.

1.Eligibility & Account Registration
- You must have legal capacity and authority to bind your organization. You are responsible for your Users’ compliance with these Terms.
- Registration information must be accurate and kept current. Misrepresentation may result in suspension or termination.
2.Access, Roles & Security
You control role assignments (e.g., admin, buyer, seller, manager). You are responsible for safeguarding credentials, API keys, and session access. Notify Atlas immediately of any suspected compromise.
Atlas may enable protective controls (e.g., entitlements, kill-switch, LULD bands, position limits) to maintain platform integrity and manage risk.
3.Acceptable Use Policy
- No illegal activity, harassment, infringement, market manipulation, or unfair competition practices.
- No uploading malware, scraping non-exposed endpoints, or bypassing authentication, rate limits, or idempotency keys.
- No public redistribution of non-public content, reference prices, indices, or Derived Data without authorization.
- Respect privacy, sanctions, and export control laws across all jurisdictions where you operate.
4.Customer Content & License to Atlas
“Customer Content” includes information you or your Users submit to BRidge (e.g., contracts, inventory, BOL fields, attachments). You retain ownership of Customer Content.
You grant Atlas a worldwide, non-exclusive license to host, process, transmit, analyze, and use Customer Content to provide, secure, improve, and support BRidge, generate Derived Data (aggregated/anonymized analytics and indices), and meet legal/regulatory obligations.
You are responsible for obtaining all necessary rights and consents to submit Customer Content and for the accuracy of such content.
5.Subscriptions, Fees & Taxes
- Fees are set out in an Order or in-product plan page. Unless stated otherwise, fees are non-refundable.
- You authorize Atlas (or its processor) to charge fees automatically on the billing schedule. Late amounts may incur finance charges or service suspension.
- You are responsible for applicable taxes (excluding Atlas’s taxes on income).
6.Orders, SOWs & Trial/Beta Features
- Orders or Statements of Work (SOWs) may specify special terms, onboarding, custom work, or SLAs and will control over these Terms to the extent of a conflict.
- Beta Experimental or pre-release features are provided AS IS, may change, and may be discontinued at any time. Usage is optional and at your own risk.
7.APIs, Rate Limits & Fair Use
API keys are personal to your organization. You must comply with published or in-product rate limits and idempotency requirements. Atlas may throttle or block abusive or unsafe patterns to protect system stability.
8.Reference Pricing & Market Data
BRidge may display internal reference values, delayed or estimated prices (e.g., COMEX/LME snapshots), or FX references. Such values are for internal operational use only and may be delayed, incomplete, or interrupted.
You must not redistribute Market Data or Derived Data publicly unless expressly licensed by the originating provider and Atlas. You are solely responsible for decisions based on such values (e.g., trading, hedging, accounting).
9.Compliance (KYC/AML/Sanctions)
- You are responsible for your own counterparty diligence and regulatory obligations.
- Atlas may suspend access if it reasonably suspects sanctions, KYC/AML violations, or unlawful use.
- Recordkeeping, exports (e.g.,
/admin/exports), and retention tools are provided for your convenience; you remain responsible for filings and accuracy.
10.Privacy, Cookies & Data Processing
Our Privacy Policy explains how we collect, use, and share personal data. Where applicable, a Data Processing Addendum (DPA) governs data protection, transfer mechanisms, and subprocessors. BRidge may use cookies and similar technologies for session management, analytics, and security.
11.Third-Party Services & Open Source
- BRidge integrates with third-party services (e.g., ICE Digital Trade, storage, observability). Their terms and privacy policies apply to your use of those services.
- BRidge may include or interact with open-source components governed by their respective licenses. Atlas will make applicable notices available upon request; those licenses control solely for covered components.
12.IP Notices & DMCA
If you believe content on BRidge infringes your copyright, send a DMCA notice to info@atlasipholdingsllc.com with: (i) a description of the work; (ii) the URL or location of the allegedly infringing material; (iii) your contact info; (iv) a statement of good-faith belief; (v) a statement under penalty of perjury that your notice is accurate and that you’re authorized to act; and (vi) a physical or electronic signature. We may remove content and terminate repeat infringers.
13.Service Changes, Support & Availability
Atlas may modify or discontinue features with reasonable notice where practicable. Unless expressly stated in an Order/SLA, BRidge is provided on an “as-available” basis without specific uptime commitments. Support is provided per your plan or Order.
14.Suspension & Termination
- We may suspend or limit access immediately for security risks, legal requests, non-payment, policy violations, or to protect the platform.
- Either party may terminate for material breach not cured within 30 days (10 days for non-payment). Post-termination data export may be available upon written request and payment of applicable fees unless prohibited by law or third-party rights.
15.Disclaimers
BRIDGE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATLAS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT. BRIDGE DOES NOT PROVIDE LEGAL, ACCOUNTING, INVESTMENT, OR TAX ADVICE.
16.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATLAS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS, LOST DATA, TRADING LOSSES, HEDGING ERRORS, OR REGULATORY PENALTIES, EVEN IF ADVISED OF THE POSSIBILITY.
ATLAS’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO BRIDGE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO ATLAS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. THESE LIMITATIONS APPLY NOTWITHSTANDING FAILURE OF ESSENTIAL PURPOSE.
17.Indemnification
You will defend, indemnify, and hold harmless Atlas and its Affiliates from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your (or your Users’) use of BRidge in violation of these Terms or law, your Customer Content, your counterparty dealings, or unauthorized redistribution of Market Data/Derived Data.
18.Export Controls, Sanctions & Anti-Bribery
- You represent that neither you nor your beneficial owners are on a restricted-party list (OFAC, UK HMT, EU, UN).
- You will not export or provide BRidge to embargoed countries or prohibited parties and will obtain required licenses.
- You will comply with the U.S. FCPA, UK Bribery Act, and analogous laws and maintain adequate internal controls.
19.Governing Law & Dispute Resolution
Governing Law (US). Indiana law governs these Terms, excluding conflict-of-laws rules. Exclusive venue is the state or federal courts in Marion County, Indiana.
International / UK Users. If your Order specifies the United Kingdom as the contracting region, or your principal place of business is in the UK, English law applies with exclusive jurisdiction of the courts of England and Wales for matters not subject to arbitration.
19.1 Escalation & Arbitration
- Good-faith negotiation for at least ten (10) business days.
- Failing that, binding arbitration: AAA Commercial Rules seated in Indianapolis, Indiana (US seat) or LCIA Rules seated in London (UK seat), before one arbitrator. Judgment may be entered in any court of competent jurisdiction.
Each party waives jury trial to the extent permitted by law.
20.Miscellaneous
- Entire Agreement; Order of Precedence. These Terms, the EULA, the Privacy Policy, and any applicable Order constitute the entire agreement. Order > EULA > Terms > referenced policies.
- Changes. We may update these Terms; material changes will be posted at this URL and effective upon posting or as otherwise stated.
- Assignment. You may not assign without Atlas’s prior written consent. Atlas may assign to an Affiliate or in connection with merger, acquisition, or asset sale.
- Force Majeure. Neither party is liable for delays outside its reasonable control.
- Severability; Waiver. If any provision is unenforceable, the remainder remains in effect. Failure to enforce is not a waiver.
- Government Use. BRidge is “commercial computer software” and “commercial computer software documentation”; government use is subject to standard commercial licensing terms.
- Electronic Acceptance. Clicking “I agree,” checking a box, or first use after notice constitutes acceptance (E-SIGN, UETA, and UK equivalents).
- Accessibility. Atlas aims to maintain reasonable accessibility; please contact us for accommodation requests.
