This End User License Agreement (“EULA”) is a legal agreement between Atlas IP Holdings LLC (“Atlas”, “we”, “us”, “our”) and the entity or person that accesses or uses the BRidge platform, software, documentation, websites, APIs, and related materials (collectively, “BRidge”). By accessing or using BRidge, you agree to be bound by this EULA.
Subject to this EULA and any applicable Order, Atlas grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use BRidge during the Term, solely for your internal, lawful business purposes in connection with commodity contracts, logistics, compliance, analysis, and related workflows.
BRidge is licensed, not sold. Atlas and its licensors reserve all rights not expressly granted.
Unless expressly stated in an Order, Atlas is not acting as a registered broker-dealer, investment adviser, alternative trading system (ATS), designated contract market (DCM), or clearing agency. BRidge is software infrastructure and operational tooling; it does not constitute investment advice, a solicitation to buy or sell commodities or securities, or a commitment to execute or clear any transaction.
You are responsible for: (a) creating and maintaining accurate account information; (b) restricting access to authorized Users; (c) all activities under your accounts; and (d) complying with role-based permissions (e.g., admin, buyer, seller, manager).
Atlas may suspend or restrict access (e.g., via kill-switch or entitlements) to protect the platform, enforce risk controls, address non-payment, or respond to regulatory issues.
You will comply with published or in-product rate limits and idempotency requirements. Atlas may throttle, queue, or temporarily block requests that exceed fair-use thresholds or threaten system stability.
You retain all rights to Customer Data. You grant Atlas a worldwide, non-exclusive license to host, process, display, analyze, and create Derived Data from Customer Data to provide, secure, and improve BRidge (including indices, risk models, anomaly detection, and operational analytics).
Atlas owns Derived Data and may use it for benchmarking, indices, product improvement, security, and compliance, provided it is not used to identify you or your Users (unless legally required or expressly permitted by you).
Each party will protect the other’s Confidential Information with reasonable care and use it only as permitted under this EULA. Confidentiality obligations survive termination.
Processing of personal data is governed by our Privacy Policy and, where applicable, a data protection addendum (“DPA”). You acknowledge that BRidge may emit signed, auditable events to Dossier HR (behavioral/compliance bus) as configured, for normalization, trust scoring, and recordkeeping.
Atlas may use vetted subprocessors (e.g., hosting, storage, observability) to provide BRidge. A current list is available upon request and may be updated. Where a DPA applies, data residency, transfer mechanisms, and subprocessors will follow the DPA’s terms and prevail over this EULA in case of conflict.
/admin/exports) are provided as tools; you remain responsible for regulatory filings and accuracy.BRidge may rely on third-party services (e.g., ICE Digital Trade, Supabase, cloud storage, FX references) and may ingest/delay reference Market Data (e.g., COMEX/LME snapshots) on a best-effort basis. Such services are subject to their own terms. Atlas makes no guarantees regarding availability, accuracy, timeliness, licensing status, or continuing access to third-party services or Market Data.
You must not redistribute third-party Market Data obtained through BRidge unless expressly permitted by the originating provider and Atlas.
Reference prices, indices, or FX shown in BRidge are for internal calculation and operational use only and may be delayed, estimated, incomplete, or interrupted. You are solely responsible for any trading, hedging, or accounting decisions that rely on such values. Redistribution or public display is prohibited unless expressly licensed by the originating provider and Atlas.
Atlas may update, modify, or discontinue features (including indices, APIs, or integrations) on reasonable notice where practicable. BRidge is provided on an “as-available” basis; no specific uptime or response SLAs are provided unless expressly stated in an Order or SLA addendum.
Service Level Addendum. Service uptime and performance commitments, where applicable, are defined in the SLA Addendum available upon request or as incorporated by reference in an Order.
Fees (subscription, usage, marketplace, or integration fees) are as stated in the applicable Order. Fees are non-refundable except as expressly provided. You are responsible for applicable taxes (excluding Atlas’s taxes on income). Late amounts may incur finance charges or suspension.
Atlas and its licensors own BRidge, including software, schemas, documentation, UI, designs, indices methodologies, models, and all improvements. If you provide Feedback or suggestions, Atlas may freely use them without restriction or obligation.
BRidge may include or interact with open-source software and third-party components subject to their own licenses. To the extent required by those licenses, Atlas will make applicable notices and source code offers available upon request. In the event of conflict between such licenses and this EULA, the open-source licenses control solely for the covered components.
BRIDGE, MARKET DATA, INDICES, ANALYTICS, AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATLAS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT. WITHOUT LIMITATION, ATLAS DOES NOT WARRANT THAT BRIDGE OR ANY MARKET DATA OR THIRD-PARTY SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ATLAS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS, LOSS OF BUSINESS, LOSS OF DATA, TRADING LOSSES, HEDGING ERRORS, OR REGULATORY PENALTIES, EVEN IF ADVISED OF THE POSSIBILITY.
ATLAS’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS EULA WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO ATLAS FOR BRIDGE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. THE FOREGOING LIMITATIONS APPLY NOTWITHSTANDING FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
You will defend, indemnify, and hold harmless Atlas and its Affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of BRidge in violation of this EULA, Policies, or law; (b) your Customer Data; (c) your interactions and contracts with counterparties; or (d) your use or redistribution of Market Data or Derived Data contrary to applicable licenses.
This EULA begins upon your first access to BRidge and continues for the Term specified in your Order or until terminated as permitted herein.
Atlas may immediately suspend access for security risks, suspected violations, non-payment, or legal/regulatory requests.
Either party may terminate for material breach if not cured within thirty (30) days’ written notice (ten (10) days for non-payment). Atlas may terminate immediately for illegal use, infringement risk, sanctions issues, or data misuse.
Upon termination, your license ends and you must cease use and destroy any non-exported copies of software or confidential materials. Sections on data rights (to the extent necessary), confidentiality, IP, disclaimers, liability limits, indemnity, and dispute resolution survive.
Atlas may, at your written request and subject to fees, provide reasonable export of your recent Customer Data (e.g., via /admin/exports) unless prohibited by law, third-party rights, or security concerns.
Governing Law. This EULA is governed by the laws of the State of Indiana, USA, without regard to conflict-of-laws principles.
International / UK Users. Where the Order specifies the United Kingdom as the contracting region, or where you are incorporated or primarily located in the UK, this EULA is governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales for matters not subject to arbitration under this Section.
Each party waives the right to a jury trial to the extent permitted by law.
Atlas may update this EULA to reflect changes to the Service, law, or business needs. Material changes will be posted within BRidge (e.g., at /eula) and become effective upon posting or as otherwise stated. Your continued use after the effective date constitutes acceptance.
